BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS SET FORTH HEREIN. SUBMISSION OF A PUBLICALLY DISPLAYED OR ORIGINAL OWN VIDEO FOR CONTEST CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS.    

 

VIDEO SUBMISSION MANAGER:  The SKID ROW website is hosted and operated on behalf of Spit Brothers, LLC (“Video Submission Manager”). Video Submission Manager’s decisions are final and binding in all matters relating to the SKID ROW “Social Media Cover Sweepstakes” video contest (“Sweepstakes”).   

 

Sweepstakes is in no way sponsored, endorsed, promoted or administered by, or associated with any other 3rd party company or platform.

 

SWEEPSTAKES PERIOD: 

The Sweepstakes begins at 12:00:00 AM Eastern Time (“ET”) on February 27, 2023 and submissions close at 11:59:59 PM PT on March 15, 2023 (“Submissions Period”). Video Submission Manager’s designated agent’s computer system shall be the official timekeeper for the Contest.  Finalists will be selected at the end of the submission period with the fan voting process beginning upon announcement of the finalists. Winner(s) will be drawn at the end of the Voting process outlined below. The voting process will close at 12:00:00 PM EST on April 14, 2023. After the fan voting process winner(s) will be contacted and will receive the prizes described and outlined below Prize Section.

 

SWEEPSTAKES REQUIREMENTS:  By participating in the Sweepstakes, each Participant is confirming that they have read and agree to comply with these Terms and Conditions (“Terms”), Video Submission Manager’s terms of use, located at skidrow.com/sweepstakes and all other Sweepstakes requirements.  All Video submissions, requests and/or materials submitted become the property of Video Submission Manager and will not be returned or acknowledged.   

 

Normal Internet access and data usage charges imposed by your carrier or online service will apply. Video Submission Manager reserves the right to post (or not post) any video submitted in this Promotion on its website, official band social media channel (as a video) controlled by Video Submission Manager, and on social media, in its sole and absolute discretion, notwithstanding using to repurpose and used as video content by SKID ROW band which will be distributed and released globally for promotional and commercial use in any formats.

 

By submitting a video, you hereby agree to hold Video Submission Manager and their respective affiliates and subsidiaries, and the officers, directors and employees of each of the foregoing (“Released Parties”), harmless from and against any liability of any kind arising from or in connection with any use of the video/audio. By submitting a video/audio, Participant hereby warrants and represents s/he has not included any restricted content in the video/audio and have not violated any of the requirements for video submissions as stated in these Terms. All videos become Video Submission Manager’s property and will not be returned or acknowledged.   

 

HOW TO ENTER: You may enter this Sweepstakes only by posting a video on your personal social media platforms (ie: Tik Tok, Instagram, Youtube, Twitter, Facebook platforms. In the event of an identity dispute, entry will be considered made by the registered owner of their personal social media account account or username used for entry. Entrants entering online must have a valid email address for potential future communication. The Sponsors shall select a winner from the entries submitted that meet the rules requirements described herein. The potential winner may be required to show proof of being the authorized account holder. Once submitted, all entries become the exclusive property of the Sponsors and will not be acknowledged, nor will they be returned. No other forms of entry are valid.

 

If you choose to enter via a mobile device, STANDARD MESSAGE RATES AND DATA CHARGES APPLY. Please consult the terms and conditions of your individual service plan prior to participating via a mobile device. A mobile device is not required to enter the Contest.

Record a video of you doing a unique cover song version of “18 and Life”.  Can be a straight cover of the song or put your own creative spin on the song with unique instruments, other ad-libs, solo’s or various sections.  You can use any instrument of your choice including vocal covers or even a full band doing the song cover

Then the entrant must upload an original video on the entrant's own preferred social media account, in which they perform a cover of Skid Row’s “18 and Life”.  Depending on the size of your Submission, your connection, Internet traffic and other circumstances, your submission/upload time may take several minutes to complete.

 

Then the entrant must upload and post the video on either of your preferred social media account (TikTok, Instagram, Facebook, Twitter and Youtube), in which they perform a cover of Skid Row’s “18 and Life” and must tag the bands channel (listed below) as well with the hashtag =  #18AndLife

WINNER SELECTION:

• Spit Brothers, LLC (“Video Submission Manager”) can pick their favorite 18 covers 

 

• By April 5, 2023 Spit Brothers, LLC (“Video Submission Manager”) will create a YouTube playlist (#18AndLife Covers Challenge) on the Skid Row Channel featuring all finalists.

 

• This playlist will then be promoted on Skid Row social media with each finalist having a direct link to their video to share with their friends and family. 

 

• Fans will be able to vote on their favorite version with “likes” and “comments” with the top-rated video (“likes” or “comments”), as chosen by the fans, being crowned our winner. One “like” and one “comment” per account will be counted towards the vote total.  

 

VIDEO SUBMISSION CREATIVE:

For your video submission, the Video Submission Manager encourages you to be innovative, creative, and clever, but please use good taste, keep the video, images, and/or artistic impression(s) ("Submissions") free of obscenity or indecent material. Entries cannot defame, misrepresent or contain disparaging remarks about Video Submission Manager, or other people, products or companies or communicate messages or images inconsistent with the positive images and/or goodwill to which Video Submission Manager associates. Video Submission Manager reserves the right to monitor and will monitor or screen entries for consideration. By entering, you acknowledge that your entry may be posted on the Video Submission Manager’s Tik Tok, Facebook, Instagram, Youtube, Twitter account(s) and/or Web site (and any and all other digital platforms the Video Submission Manager owns), at Video Submission Manager's sole discretion. Video Submission Manager has no obligation to use or post any Submission you submit. Video Submission Manager shall have full right and power to copy, publish, broadcast, display, distribute, use, edit, translate, alter, combine with other material, reuse and adapt any or all portions of the Submissions and/or entries in any way and for any purpose whatsoever, at any time, now or in the future, in any media now known or hereafter devised throughout the world in any manner whatsoever and for any purpose. Online entries that are not in accordance with the guidelines as stated herein, contain prohibited content or are not received during the Contest Period will be ineligible. 

 

Content requirements:

All Submissions must be the original work (cover of Skid Row’s song “18 and Life”) of the entrants and not violate the rights of any other party, including but not limited to intellectual property rights or rights of privacy/publicity. Submissions may not contain any of the following content as determined by Video Submission Manager in their sole discretion: (a) sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain nudity or any materially-dangerous activity; (b) promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (c) is obscene or offensive, endorses any form of hate or hate group; (d) contains trademarks, logos or trade dress owned by others outside of the Skid Row brand, or advertises or promotes any brand or product of any kind, or contains any personal identification, such as license plate numbers, personal names, Instagram or Twitter account names, e-mail addresses or street addresses; (e) defames, misrepresents or contains disparaging remarks about other people or companies; (f) communicates messages or images inconsistent with the positive images and/or good will to which Video Submission Manager wish to associate; (g) contains copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in Web sites, television, movies or other media) without permission; (h) contains materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission; and (i) depicts, and cannot itself, be in violation of any law. 

 

By submitting a Submission you warrant and represent that it: (a) is your original work; (b) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (c) that you have obtained permission from any third party who appears in the entry or whose name, likeness, voice or other proprietary right is used in the entry, if any; and (d) that publication of the entry via various media including Web posting, will not infringe on the rights of any third party. 

 

Any such entrant that violates the Content Requirements will indemnify and hold harmless, Sponsor from any claims to the contrary. Any entrant whose entry includes photographs, likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including use by Sponsor(s) of such entry, in a form satisfactory to Sponsor(s), upon request, prior to award of prize. Any entry that, in the sole opinion of Sponsor(s), is deemed to be inappropriate for publication is ineligible. Incomplete, illegible, false, deceptive or garbled entries are not eligible. For a video in which a person is recognizable, you must secure a model release from the subject or, in the case of a minor, the subject's parent or guardian and provide it to the Video Submission Manager upon request. Images that violate or infringe upon another person's rights, including copyright, are not eligible.

 

SUBMISSIONS POSTED TO THE VARIOUS SOCIAL MEDIA CHANNELS (IE:TIK TOK, INSTAGRAM, TWITTER, YOUTUBE, FACEBOOK, OR OTHER SOCIAL MEDIA ACCOUNTS ARE NOT EDITED BY THE VIDEO SUBMISSION MANAGER AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF THE VIDEO SUBMISSION MANAGER IN ANY MANNER. 

 

Any waiver of any obligation hereunder by Video Submission Manager(s) does not constitute a general waiver of any obligation to entrants.

 

Spit Brothers, LLC is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-­‐line systems, servers, access providers, computer equipment, software, failure of any email or entry to be received by Spit Brothers, LLC  on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof including any injury or damage to an Entrant’s or any other person’s computer related to or resulting from playing or downloading any materials in this promotion. Spit Brothers, LLC reserves the right, in its sole discretion, to cancel or suspend the sweepstakes should a virus, bug or other cause beyond the reasonable control of Spit Brothers, LLC corrupt the security or proper administration of the sweepstakes. Any attempt to deliberately damage any website or undermine the illegitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, Spit Brothers, LLC reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.  Spit Brothers, LLC reserves the right to update these official terms & conditions accordingly during the sweepstakes period.

 

CONDITIONS OF ENTRY. Entrants may enter unlimited entries during the sweepstakes Period.

 

ELIGIBILITY.  The Promotion is open to all natural persons and 18 years of age at the time of entry (if under the age of 18, or under the age of majority in their jurisdiction, you must have your parent or legal guardian’s permission to enter this Contest).

• By April 5, 2023 Spit Brothers, LLC (“Video Submission Manager”) will create a YouTube playlist (#18AndLife Covers Challenge) on the Skid Row Channel featuring all finalists.

 

• This playlist will then be promoted on Skid Row social media with each finalist receiving a direct link to their video to share with their friends and family.

Spit Brothers, LLC will select One (1) Grand Prize Winner, and four (4) Runner Up Winner from entrants at the end of the Contest Period.  Entrants are limited to one win during the Contest. Winners will be announced online on the SKID ROW official website.

 

• The winners will be notified within 14 business days of the selection. If a winner does not respond within 7 business days of this notification to claim his or her prize, or if any winner does not meet the eligibility criteria, such winner will be disqualified and a new winner will be chosen.

 

• The Video Submission Manager reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes should virus, bug, non-authorised human intervention, fraud, or other cause beyond the Video Submission Manager’s control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such cases, the Video Submission Manager may select a winner(s) from eligible entries received before and/or after the action taken by the Video Submission Manager if appropriate. The Video Submission Manager reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Terms & Conditions. The Video Submission Manager has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Sweepstakes rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such an attempt be made, the Video Submission Manager reserves the right to seek damages to the fullest extent permitted by law.

 

• If, in Spit Brothers, LLC's opinion, there is any suspected or actual evidence that the integrity of the sweepstakes has been compromised, Spit Brothers, LLC. reserves the right to terminate the sweepstakes and to award the prizes using all eligible entries received as of the termination date. 

 

• Should the sweepstakes be terminated prior to the stated expiration date, notice will be posted on the Spit Brothers, LLC website (SkidRow.com). Video Submission Manager’s decisions concerning selection of winners, as well as all other matters relating to any sweepstakes, are final and binding.

 

 

PRIZES AND ODDS OF WINNING. One (1) Grand Prize winner will be selected at the end of the Contest term to win one Grand prize listed below.  The total VRV ("Verifiable retail value" defined as the price at which a promoter or sponsor can demonstrate that a substantial number of prizes have been sold at retail by a person other than the promoter or sponsor) of all prizes awarded during the Contest Period is $999.99. Dollar amounts are expressed in U.S. currency. Odds of winning a contest will depend on the number of eligible entries received for the applicable contest as well as originality, creativity, uniqueness, and talent. Prizes are non-­transferable, and no prize substitutions or cash redemptions are allowed. Income and other taxes, if any, on prizes are the winners’ sole responsibility. All prizes will be awarded according to these rules and distributed no later than six (8) months from the end of the Contest Period

Video Submission Guidelines:  To qualify for winning the “18 and Life” Cover Sweepstakes, video submission must comply with the following content guidelines.   

 

Video cannot:

·         Be sexually explicit or suggestive; derogatory of any ethnicity, race, gender, or religion; or profane or pornographic (e.g., contain nudity);  

·         Promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), or any activities that may appear unsafe or dangerous; Defame, misrepresent or contain disparaging remarks about SKID ROW or any other people and/or companies;

·         Contain any use of trademarks, logos, landmarks, copyrighted materials owned by others or contain any personal identification besides the Skid Row brand; Communicate messages or images inconsistent with the positive images and/or goodwill to which SKID ROW wishes to associate.

 

Video must:

●Be posted on entrant’s original preferred social media channel (ie: Tiktok, Instagram, Twitter, Facebook, Youtube) account and must tag the bands channel as well with the hashtag #18AndLife

 

●Be original and solely created by you or is currently at time of “upload” publicly displayed. It is your responsibility to obtain, prior to submission of your Photo, the approval and rights to use any individuals or content you did not create;

 

●Not have been previously used for any other commercial purpose.

 

Participant further represents and warrants that the Participant has obtained written permission from each person whose name, image, likeness, and/or voice ("Likeness") is included in the Photo, and that such person(s) have granted Participant all necessary rights to use the person's Likeness as described in these Terms, and that Participant can make written copies of such permissions available to the Video Submission Manager upon request. If the Likeness of a minor is included, such grant of rights must include written permission from the minor's parent or legal guardian authorizing the use of the minor's Likeness on behalf of the minor.

 

By submitting your video, you warrant and represent that you consent to the submission and use of the video in the Promotion. Promotion entities are not responsible for any unauthorized third-party use of any photo. Videos will not be held “in confidence” and the creation and submission of a video does not create a confidential relationship or obligation of secrecy between any Participant and Video Submission Manager or any of its affiliates.  

 

ASSIGNMENT OF RIGHTS: Participant hereby acknowledges that video and all other materials of every kind whatsoever created by Participant relating to the Contest (collectively, the “Work”) are a “work made for hire” (as that term is used in the United States Copyright Act) for Video Submission Manager, and Video Submission Manager is the sole and exclusive owner, in perpetuity and throughout the universe, of all right, title and interest in and to the Work, including, without limitation, all copyrights in and to the Work (and all renewals and extensions thereof now or hereafter provided by law) and all the rights therein and thereto, and may exploit the Work (and all rights therein) in any manner throughout the world without restriction on a gratis basis. Without limiting the binding effect of any of the foregoing provisions, in the event that any part of the Work is deemed not to be a “work made for hire” for Video Submission Manager, Participant hereby irrevocably and exclusively grants and assigns to Video Submission Manager (or, if any applicable law prohibits or restricts such assignment, Participant hereby grants to Video Submission Manager an irrevocable, perpetual, royalty-free, transferable license of) on a gratis basis all right, title and interest in and to such Work, including, without limitation, all rights of every kind and nature (whether now known or hereafter devised, including all copyrights therein and thereto and all renewals and extensions thereof), throughout the universe, in perpetuity, for all purposes, in any and all media, whether now known or hereafter devised.  Participant hereby waives all so-called “moral rights of authors” and “droit moral” rights (and any similar or analogous rights under the applicable laws of any country of the world). Each Participant agrees and acknowledges that no public performance, synchronization, mechanical, writing, publishing and/or master use royalties, monies or consideration of any kind will be payable in connection with Video Submission Manager’s use of the Work, whether commercial use or otherwise, in any and all media, whether now known or hereafter devised.

 

RELEASES: Participating Participants agree to these Terms and the decisions of the Video Submission Manager and release, defend and hold harmless Released Parties as well as the employees, officers, directors and agents of each, from all claims and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons, which may be sustained in connection with either directly or indirectly, participation in the Promotion.
